1. Acceptance of these Terms

By accessing, browsing or using celmorix.com (the “Website”), you acknowledge that you have read and understood these Terms & Conditions (“Terms”) and agree to comply with them. If you do not agree, do not use the Website or submit the entry form.

If you use the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms. References to “you” include the individual user and, where applicable, that organization.

Nothing in these Terms limits a non-waivable right or remedy available under applicable consumer-protection, privacy or other law.

2. Operator and scope

The Website is operated by Celmorix Grand Promotions Inc., Toronto, Ontario, Canada (“Celmorix,” “we,” “us” or “our”). These Terms apply to the Website, its text, visuals, code, entry interface, legal centre and communications initiated through Website contact addresses.

These Terms do not govern an external website, email provider, telecommunications service or delivery company merely because it can be reached from or supports the Website. Those services may have separate terms.

3. Audience, age and eligibility

The Website is intended for people located in Canada who are at least 18. Giveaway entrants must also have reached the age of majority in their province or territory and satisfy every eligibility requirement in the Official Rules.

Viewing publicly available legal or support information does not itself make a person eligible for the giveaway. We may restrict or deny access where reasonably necessary to comply with law, protect users, preserve security or enforce these Terms.

You are responsible for ensuring that access and use are lawful where you are located. The existence of the Website does not constitute an offer in a place where the Website or promotion would be prohibited.

4. No gambling, deposits or financial services

The Website is a free promotional and informational site. It does not provide or facilitate:

• casino games, sports betting, poker, bingo or lottery-ticket sales;
• real-money or play-money gaming accounts;
• deposits, withdrawals, wagering balances or payment processing;
• the purchase, sale or transfer of entries;
• credit, investment, financial or cryptocurrency services; or
• a method for improving giveaway odds through payment or gambling activity.

Celmorix will never ask for a deposit, purchase, wager, shipping fee, payment-card number, bank password, gift card or cryptocurrency transfer to enter or claim a giveaway prize. Any person making such a request is not acting through the official Celmorix process.

Casino-inspired design language is aesthetic and cultural. It does not represent the availability of gambling services or an affiliation with a gaming operator.

5. Giveaway entries and Official Rules

The Monte Carlo Nights Merch Giveaway Official Rules are incorporated by reference for promotion-related matters. They address the entry period, eligibility, entry limit, prize count and approximate value, draw, odds, skill-testing question, winner verification, delivery and administration.

Submitting an entry

You must provide accurate, current information and personally complete the required confirmations. Automated, scripted, bulk, copied, fraudulent or manipulated submissions are prohibited. A successful technical response or confirmation code means that the endpoint accepted the submitted data; it is not proof of eligibility, selection or winning.

One entry

The limit is one entry per person and per email address for the Entry Period. Attempts to obtain extra entries through aliases, multiple addresses, identity manipulation, automation or coordinated submission may result in all associated entries being invalidated.

Winner messages

A person is not a winner until every verification step in the Official Rules is completed. Potential-winner contact will come from an @celmorix.com address. A confirmation code has no monetary value, cannot be sold and does not establish entitlement to a prize.

6. Acceptable use

You may use the Website for personal, lawful, non-commercial purposes consistent with these Terms. You must not:

• break or attempt to break any applicable law, regulation, court order or third-party right;
• submit false information, impersonate another person or misrepresent authority;
• bypass age, eligibility, rate, security or entry-limit controls;
• use bots, scripts, crawlers or automated tools to submit entries, probe forms or overload infrastructure;
• introduce malware, malicious code, corrupted data or harmful requests;
• scan, test or exploit a vulnerability without prior written authorization;
• interfere with another person’s access or with the integrity, availability or performance of the Website;
• harvest names, email addresses or other information from the Website;
• frame, mirror or reproduce the Website in a way that falsely suggests affiliation;
• use Celmorix branding to solicit money, credentials or personal information; or
• assist another person in any prohibited activity.

Reasonable indexing by standard search engines is permitted where it respects robots.txt and does not submit forms, impair service or republish protected content beyond lawful excerpts.

7. Website content and intellectual property

The Website and its original elements—including the Celmorix name and mark, layouts, written copy, artwork, product graphics, photographs, code and design system—are owned by or licensed to Celmorix and protected by applicable intellectual-property laws.

Subject to these Terms, Celmorix grants you a limited, revocable, non-exclusive, non-transferable licence to access and display the Website for personal informational use. No ownership is transferred. Without written permission, you may not reproduce, distribute, sell, license, adapt, publish, create derivative works from or commercially exploit a substantial part of the Website.

Third-party names

Geographic, cultural or descriptive references remain the property of their respective rights holders where applicable. Celmorix and the giveaway are not sponsored, endorsed or administered by Formula One, a racing team, Automobile Club de Monaco, Monte-Carlo Société des Bains de Mer or another third-party brand owner. No third-party name is used to claim endorsement.

Permitted references

You may share an ordinary link to a public page and make fair, accurate references to the giveaway. You must not alter a screenshot or statement in a misleading way, claim to represent Celmorix, announce an unverified winner or use the content to solicit money.

8. Information and communications you submit

You retain ownership of original content in a message you send. You authorize us to use, reproduce and share that content only as reasonably necessary to process the request, administer the giveaway, investigate misuse, protect legal rights or comply with law, as further described in the Privacy Policy.

Do not submit confidential business information, unlawful content, malware, infringing material or personal information about another person without lawful authority. Do not send payment data, passwords or unnecessary identity documents.

Feedback about the Website may be used to improve it without compensation, provided we do not publicly identify you or use personal information contrary to the Privacy Policy.

9. Privacy and browser storage

Our Privacy Policy explains collection, use, disclosure, safeguards, retention and access rights. Our Cookie & Local Storage Policy identifies the limited functional storage used by the current Website.

Entry does not enrol you in marketing. Administrative emails may be sent to process the entry, contact a potential winner, verify eligibility, deliver a prize or answer a request. You are responsible for keeping access to your email and locally stored confirmation code secure.

10. External websites and resources

The Website links to independent government, privacy and responsible-gambling resources for convenience. A link does not mean Celmorix controls, guarantees or endorses every statement, service or policy on the destination. External content and availability may change without notice.

Review the destination’s terms and privacy information before providing data. Celmorix is not responsible for an external site’s content, accessibility, security or handling of information, except to the extent liability cannot lawfully be excluded.

11. Availability, maintenance and modifications

We aim to keep the Website accurate and available, but uninterrupted or error-free operation is not guaranteed. Maintenance, hosting failures, internet disruption, malicious activity, browser incompatibility, events outside reasonable control or lawful restrictions may affect access.

We may repair, update, suspend or remove Website features where reasonably necessary. Changes to the giveaway itself remain subject to the Official Rules and applicable law. We will not intentionally use a technical change to avoid awarding validly available prizes.

You are responsible for compatible internet access, browser software and device security. Standard carrier or internet-provider charges are your responsibility; Celmorix charges no entry fee.

12. Informational nature and disclaimers

The Website is provided on an “as available” basis for general information and giveaway administration. To the maximum extent permitted by applicable law, Celmorix disclaims implied warranties or conditions that may otherwise apply, including merchantability, fitness for a particular purpose and non-infringement.

Legal, privacy, security and responsible-play information is written to be useful but is not individualized legal, medical, psychological, financial or technical advice. Consult an appropriately qualified professional or official service for advice about your circumstances.

Nothing in this section excludes an express commitment in the Official Rules, liability for fraud or wilful misconduct, or a warranty or right that cannot legally be excluded.

13. Limitation of liability

To the maximum extent permitted by applicable law, Celmorix and its directors, officers, employees, agents and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of opportunity, data, goodwill or profit, arising solely from use of or inability to use the Website.

This limitation does not apply where prohibited by law and does not limit obligations expressly assumed in the Official Rules. Some provinces or territories may not permit particular exclusions; in that event, the exclusion applies only to the maximum lawful extent.

You are responsible for maintaining reasonable device security and independent copies of information you need. A locally displayed entry receipt should be saved, but it does not replace Sponsor records or establish winner status.

14. Responsibility for unlawful misuse

To the extent permitted by law, you are responsible for reasonably foreseeable losses, claims or expenses arising directly from your intentional unlawful use of the Website, fraudulent entry, infringement of another person’s rights or material breach of section 6.

This provision does not require a consumer to compensate Celmorix for losses caused by Celmorix, waive a statutory defence or accept liability that cannot lawfully be imposed.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without giving effect to conflict-of-law rules. Subject to any mandatory consumer right to bring a proceeding elsewhere, courts located in Ontario have jurisdiction over disputes relating to these Terms.

Informal resolution

Before commencing a proceeding, you and Celmorix are encouraged to send a written description of the concern and requested resolution and allow a reasonable opportunity to respond. This does not stop a party from seeking urgent injunctive relief or meeting a legal limitation period.

These Terms do not require individual arbitration, waive participation in a class proceeding or restrict a complaint to a regulator where such a restriction would be invalid under applicable law.

16. General provisions

Severability

If a provision is found invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue in effect.

No waiver

A delay or failure to enforce a provision is not a continuing waiver. A waiver must be clear and applies only to the circumstance for which it was given.

Assignment

You may not transfer rights or obligations under these Terms in a way that circumvents eligibility or security controls. Celmorix may transfer its rights and obligations as part of a legitimate reorganization or business transfer, subject to applicable law and without reducing non-waivable rights.

Force majeure

Neither party is responsible for delay caused by events outside reasonable control, except that this does not excuse Celmorix from obligations that applicable law or the Official Rules require it to complete by reasonable alternative means.

Entire agreement and priority

These Terms, the Privacy Policy and Cookie Policy form the agreement concerning general Website use. The Official Rules are the controlling agreement for the giveaway. A specific written notice may supplement these documents for a defined feature.

Language and headings

Headings are for navigation and do not limit meaning. “Including” means “including without limitation.” Electronic records and notices may be used where permitted by law.

17. Changes to these Terms

We may update these Terms for changes in law, security, Website functionality or business practices. The revision date identifies the current version. Material changes will be communicated through a prominent Website notice or another appropriate method.

An update does not retroactively alter a completed giveaway entry or reduce a verified winner’s rights under the Official Rules. Continued use after the effective date of revised Website Terms constitutes acceptance to the extent permitted by law.
